Terms and Conditions

This document was drafted to accurately describe how Ptrionix Construction actually works. It is a comprehensive starting point, not a substitute for review by a qualified lawyer familiar with Indian consumer protection, contract, and data protection law before being treated as final and binding.

1. Introduction and Acceptance

These Terms and Conditions ("Terms") form a binding agreement between Ptri Innovation Pvt Ltd ("Company," "we," "us," or "our"), a company registered in Ahmedabad, Gujarat, India, and the company or individual ("Subscriber," "you," or "your") that registers for and uses Ptrionix Construction ("Ptrionix"), the software-as-a-service platform owned and operated by the Company (the "Service").

By creating an account, completing payment, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are registering on behalf of a company, you confirm you have the authority to bind that company to these Terms. If you do not agree, you must not use the Service.

2. Definitions

  • "Subscriber" — the company that registers for and holds the paid subscription.
  • "User" — any individual the Subscriber grants access to, under any position or role within the Service.
  • "Account Data" — all information a Subscriber and its Users enter, upload, or generate through the Service, including projects, bills, financial records, photographs, and documents.
  • "Company Code" — the unique identifier issued to a Subscriber upon successful subscription, used alongside a User ID and password to sign in.
  • "Subscription Plan" — one of the pricing tiers described in Section 5, defining included Users, storage, and price.

3. Eligibility and Account Registration

The Service is intended for use by construction businesses and related organisations operating in India. By registering, you confirm that all information provided — company details, contact information, and payment details — is accurate and that you are authorised to enter into this agreement on behalf of the company being registered.

You are responsible for maintaining the confidentiality of your Company Code and every User's password within your organisation. You are responsible for all activity that occurs under your account, whether or not you authorised it, except where that activity results from our own failure to meet our security obligations under these Terms.

4. Description of the Service

Ptrionix Construction is a multi-tenant software-as-a-service platform providing project management, bill and financial tracking, attendance logging, quality and safety inspections, an AI-assisted estimation tool, and related functionality for construction businesses. Each User is granted access to a specific set of functionality based on the position assigned to them by the Subscriber's administrator.

We may add, change, or remove features over time. We will make reasonable efforts to notify Subscribers of material changes that affect functionality they actively rely on.

5. Subscription Plans and Fees

The Service is offered under the following annual plans, all prices exclusive of applicable GST (currently 18%):

  • Essential — ₹50,000/year, 6 Users included, 100GB storage, ₹6,000 per additional User/year.
  • Professional — ₹85,000/year, 12 Users included, 150GB storage, ₹4,500 per additional User/year.
  • Enterprise — ₹1,20,000/year, 20 Users included, 200GB storage, ₹3,000 per additional User/year.

All core functionality is included on every plan. The only feature that differs by plan is White Label branding (displaying the Subscriber's own logo throughout the Service instead of Ptrionix branding), which is available exclusively on the Enterprise plan.

We reserve the right to change these prices for future subscription periods. Any price change will not affect a Subscriber's current, already-paid term, and will only apply from the next renewal onward, with reasonable advance notice.

6. Payment Terms

All payments are processed through Razorpay, a third-party payment gateway. We do not directly receive, store, or process your card, UPI, or bank account details — these are handled entirely within Razorpay's own secure systems.

Subscriptions are billed annually, in advance, for a fixed 12-month term. There is no automatic recurring billing — your subscription does not renew or charge your payment method automatically at the end of a term. Continued access after a term ends requires a new payment, initiated by you.

Upgrading to a higher plan during an active term requires payment of the price difference between your current and new plan. Downgrading takes effect immediately, requires no payment, and includes no refund for the unused portion of your current term.

7. Cancellation and Refunds

You may stop using the Service at any time by simply not renewing when it expires; no explicit cancellation action is required. Because subscriptions are paid annually in advance, fees already paid are non-refundable except where required by applicable Indian law, or at our sole discretion in genuinely exceptional circumstances.

8. User Obligations and Acceptable Use

As a condition of using the Service, you agree that you and your Users will not:

  • Use the Service for any unlawful purpose, or in a way that infringes the rights of any third party.
  • Attempt to gain unauthorised access to another Subscriber's data or account.
  • Upload any content that is false, fraudulent, or that you do not have the right to upload.
  • Attempt to reverse-engineer, decompile, or probe the Service's underlying code or infrastructure.
  • Transmit any virus, malware, or other harmful code.
  • Resell or provide access to the Service to any party outside your own organisation without our prior written consent.

9. Account Data: Ownership, Storage and Security

9.1 Ownership

All Account Data you and your Users create remains your property. We claim no ownership over your business records, project data, financial information, or uploaded documents and photographs.

9.2 How your data is isolated

Each Subscriber's Account Data is logically isolated at the database level from every other Subscriber's data, enforced on our servers.

9.3 Storage and backups

Account Data is stored using Google Firebase infrastructure. You are responsible for maintaining your own copies of critical business records where their loss would cause significant harm.

9.4 Data after subscription ends

If your subscription lapses, your Account Data is retained for a reasonable period to allow you to renew. We reserve the right to permanently delete it after an extended period of non-renewal, with reasonable prior notice.

9.5 Privacy

Our collection and use of personal information is described in our Privacy Policy.

10. Intellectual Property

The Service itself is the exclusive property of Ptri Innovation Pvt Ltd. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes for the duration of your subscription.

11. Third-Party Services

The Service integrates with Razorpay (payments), Google Firebase (infrastructure), and Google Gemini (the AI Assistant). We are not responsible for the availability, acts, or omissions of these third-party providers.

AI-generated estimates are indicative only and must be independently verified against current local rates before being relied upon for any commercial quotation or financial decision.

12. Service Availability

We aim to keep the Service available and performant but do not guarantee uninterrupted or error-free operation.

13. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other in connection with these Terms.

14. Financial Disclaimer

The software is provided for informational and/or operational purposes only and does not provide financial advice, investment advice, or any guarantee of financial results.

Users are solely responsible for their financial decisions, transactions, investments, and the use of any information or features provided through the software. The software provider does not assume responsibility for any financial loss, loss of profits, loss of funds, transaction failure, market fluctuations, or any other direct or indirect loss arising from the use of the software.

By using the software, you acknowledge and agree that you do so at your own risk. The software provider shall not be held liable for any financial consequences resulting from errors, delays, interruptions, inaccurate information, third-party services, technical issues, unauthorized access, or circumstances beyond its reasonable control.

Users should independently verify financial information and, where appropriate, consult a qualified financial professional before making financial decisions.

By continuing to use the software, you agree to these Terms & Conditions and acknowledge that you have read and understood this disclaimer.

15. Limitation of Liability

The Construction ERP software is provided as a management and operational tool to assist users in managing construction-related activities, including projects, estimates, expenses, purchases, inventory, labour, accounts, and related business processes.

The software provider shall not be liable for any direct, indirect, incidental, consequential, financial, commercial, or other losses arising from or related to the use of, reliance on, or inability to use the software.

This includes, but is not limited to, loss of money, revenue, profit, business opportunities, data, project costs, materials, inventory, transactions, or any other financial or business loss.

The user is solely responsible for the accuracy, verification, and use of all information entered into or generated by the ERP system. The ERP is intended to support business operations and does not guarantee the accuracy, completeness, or suitability of any calculation, report, estimate, financial figure, project information, or other output.

The software provider shall not be responsible for losses resulting from incorrect data entry, user errors, incorrect configurations, system downtime, technical failures, internet or network issues, third-party services, unauthorized access, data loss, or circumstances beyond the provider's reasonable control.

By using the Construction ERP, the user acknowledges and agrees that the software is used at the user's own risk and accepts full responsibility for business, financial, project, and operational decisions made using information obtained from the system.

16. Acceptance of Terms

By accessing or using the Construction ERP, the user confirms that they have read, understood, and agreed to these Terms and Conditions, including the above limitation of liability.

17. Termination

We may suspend or terminate a Subscriber's access for material breach of these Terms — including non-payment, fraudulent use, or conduct that threatens the Service's security. You may stop using the Service at any time as described in Section 7.

18. Changes to These Terms

We may update these Terms to reflect changes in the Service or legal requirements. Material changes will be communicated with reasonable advance notice. Continued use after changes take effect constitutes acceptance.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat, India.

20. Miscellaneous

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and the Company regarding the Service. If any provision is found unenforceable, the remaining provisions continue in full force.
